This Non-Disclosure Agreement ("Agreement") is effective as of the date of the last signature between MSSRA, LLC. ("Company") and the undersigned party ("Recipient").
1. Confidential Information Definition
Confidential Information shall include all proprietary information related to ™Bravofolio, including but not limited to:
- Software design and architecture
- Business strategies and development plans
- User data, platform analytics, and research
- Algorithmic methodologies
- Financial projections
- Product roadmaps
- Customer and user databases
- Unreleased features and technological innovations
2. Obligations of Confidentiality
The Recipient agrees to:
- Maintain strict confidentiality of all disclosed information
- Use Confidential Information solely for authorized purposes
- Prevent unauthorized disclosure or reproduction
- Implement reasonable security measures to protect information
3. Exclusions
Confidential Information does not include information that:
- Is publicly available through no fault of the Recipient
- Was known to the recipient before disclosure
- Is independently developed without the use of Company information
- Is received from a third party without violation of confidentiality obligations
4. Term and Termination
- This Agreement remains in effect for five (5) years from the date of the last disclosure
- Obligations of confidentiality survive termination of the professional relationship
5. Remedies
- Breach may result in immediate termination of access
- The company reserves the right to seek injunctive relief
- Potential monetary damages for unauthorized disclosure
6. Governing Law
This Agreement shall be governed by the laws of Florida.
